Wabtec Announces Pricing of Senior Notes Offering

PITTSBURGH--(BUSINESS WIRE)--Jun. 17, 2020-- Wabtec Corporation (NYSE:WAB) (“Wabtec”) announced that it has priced a public offering of $500 million aggregate principal amount of 3.200% Senior Notes due 2025 (the “Notes”). The Notes will be guaranteed by each of Wabtec’s current and future subsidiaries that guarantee its indebtedness under its credit agreement or any other debt of Wabtec or any other guarantor.

The Notes will pay interest semi-annually in arrears. The Notes will mature on June 15, 2025, unless earlier redeemed or repurchased. Wabtec intends to use the net proceeds from the offering, together with cash on hand, to fund a redemption of its outstanding Floating Rate Senior Notes due 2021 (the “2021 Notes”).

The sale of the Notes is expected, subject to customary closing conditions, to close on June 29, 2020.

BofA Securities, Inc., J.P. Morgan Securities LLC and PNC Capital Markets LLC are acting as joint book-running managers for the offering.
